Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Ossyntra enterprise resource planning platform ("the Service"). The Service is provided by Ossyntra ("we", "us", "our"). By creating an account, accepting an invitation to a workspace, or continuing to use the Service, you enter into a binding agreement with Ossyntra and agree to these Terms.
1. Who you are contracting with
The Service is operated by Ossyntra, trading as Ossyntra. Where these Terms refer to "you", they mean the individual using the Service and, where the account is opened on behalf of a company or other organisation, that organisation. If you accept these Terms on behalf of an organisation, you confirm that you have authority to bind it. If you are contracting as an individual, you confirm you are of legal age to form a binding contract.
2. The Service
Ossyntra is a multi-tenant, cloud-hosted business management platform. Depending on your subscription tier it may include inventory, goods receiving, procurement, billing, invoicing, accounting, budgeting, projects, HR, payroll, helpdesk, document management, approvals, compliance, reporting, business intelligence, data migration tooling and AI-assisted analysis features.
We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes, within the limits of the plan you have purchased (including any user or seat limit).
3. Accounts, workspaces and credentials
- You must provide accurate registration information and keep it current.
- You are responsible for maintaining the confidentiality of your credentials and for all activity carried out under your account.
- Workspace administrators control who is invited to a workspace and what role each member holds; they can see and manage data belonging to that workspace.
- You must notify us promptly at hello@ossyntra.com if you suspect unauthorised access to your account or workspace.
- We strongly recommend enabling multi-factor authentication, which is available in the Security area of the platform.
4. Acceptable use
You must not, and must not permit any user of your workspace to:
- use the Service for any unlawful purpose, or in breach of any applicable law, regulation or sanctions regime;
- use the Service to commit fraud, send spam or unsolicited communications, or to store or distribute malicious code;
- upload, store or process content that infringes the intellectual property, privacy or other rights of any third party;
- probe, scan, penetration-test or otherwise interfere with the security or integrity of the Service, or attempt to gain access to another tenant's data;
- scrape, crawl or use automated means to extract data from the Service other than through interfaces we make available for that purpose;
- circumvent seat limits, rate limits, access controls or other technical restrictions;
- reverse engineer, decompile or disassemble the Service, or resell, sublicense or redistribute it without our written consent.
5. Your data and content
You retain ownership of the data and content you upload to or generate within the Service ("Customer Data"). You grant us a limited licence to host, store, transmit, back up and process Customer Data solely to provide, secure and support the Service. You are responsible for ensuring that you have the rights necessary to upload Customer Data and that its processing does not breach applicable data protection law.
6. AI-assisted features
Certain features (including AI Copilot and AI Analyst) generate summaries, suggestions and analysis using automated models. These outputs may be incomplete or inaccurate and must not be relied upon as accounting, tax, legal or other professional advice. You remain responsible for reviewing and verifying any output before acting on it. We may filter, restrict or refuse outputs where necessary to protect the Service or comply with law.
7. Intellectual property
The Service, including its software, interfaces, documentation, branding and all related intellectual property, is and remains the property of Ossyntra and its licensors. Nothing in these Terms transfers any ownership in the Service to you. Feedback you provide may be used by us without restriction or obligation.
8. Subscriptions, payment and taxes
Paid plans are billed in advance on a recurring basis at the price shown at checkout, and renew automatically for successive periods until cancelled. Each plan includes a maximum number of users; exceeding your plan's limit requires an upgrade.
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
Payment, billing, invoicing, applicable sales tax and VAT, cancellation and refund mechanics are handled by Paddle and are governed by the Paddle Checkout Buyer Terms. You can cancel at any time from the billing portal linked in the Subscription area of the platform; access continues until the end of the period you have paid for. Our refund commitment is set out in our Refund Policy, which offers a 30-day money-back guarantee.
9. Service availability
We work to keep the Service available and performant, but we do not warrant that it will be uninterrupted, error-free or free from loss of data. We may carry out maintenance, release changes, and add, modify or withdraw features. Where a change materially reduces core functionality of a paid plan, we will give reasonable notice.
10. Suspension and termination
We may suspend or terminate access to all or part of the Service where:
- you materially breach these Terms and, where the breach is capable of remedy, fail to remedy it within a reasonable period after notice;
- payment for your subscription is overdue;
- we reasonably believe there is a security, fraud or legal risk arising from the account;
- there are repeated or serious violations of the acceptable use rules above.
You may stop using the Service and cancel your subscription at any time. On termination, your right to use the Service ends. We will make Customer Data available for export for a period of 30 days after termination, after which it may be deleted or anonymised in line with our Privacy Notice.
11. Warranties and liability
To the fullest extent permitted by law, the Service is provided "as is" and we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.
To the fullest extent permitted by law, we exclude liability for indirect, consequential or special loss, and for loss of profits, revenue, business, goodwill or data. Our total aggregate liability arising out of or in connection with the Service is limited to the fees you paid in the twelve months preceding the event giving rise to the claim. Nothing in these Terms limits liability for fraud, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded.
You will indemnify us against claims arising from Customer Data, your unlawful use of the Service, or your breach of these Terms.
12. Changes to these Terms
We may update these Terms from time to time. Where changes are material we will notify account administrators in advance. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
13. General
You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. Neither party is liable for failure to perform due to events beyond its reasonable control. If any provision is held unenforceable, the remainder continues in force. These Terms are governed by the laws of the jurisdiction in which Ossyntra is established, and the courts of that jurisdiction have exclusive jurisdiction over any dispute.
